Terms of Service

1. The agreement

These Terms of Service (the “Terms”) are an agreement between you and Box Out Marketing Inc. (“VidReef,” “we,” “us”) covering the VidReef website, apps, video player, APIs, and related services (the “Service”). By creating an account or using the Service you accept these Terms and our Privacy Policy.

If you use the Service for a company or other organization, you accept these Terms on its behalf and confirm you have authority to do so; “you” then means that organization. You must be at least 16 years old to use the Service and at least 18 (or the age of majority where you live) to buy a paid plan.

People who only watch videos hosted on VidReef (“Viewers”) don't need an account; the Privacy Policy explains what we collect when they watch.

2. Your account and workspace

Give us accurate information and keep it current. You're responsible for everything done in your account and for keeping your password safe; tell us right away at support@vidreef.com if you think it has been used without permission. Each person or business may have one free account; opening more to get around plan limits isn't allowed.

Your videos, folders, and settings live in a workspace. If you invite teammates, you're responsible for what they do in it, and workspace owners control access to its content.

3. Your content

You own your content. “Your Content” means the videos, thumbnails, captions, transcripts, titles, descriptions, and other material you upload or import, and anything we create from it for you (such as streaming versions, thumbnails, preview images, and AI-generated captions).

To run the Service you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, transcode, analyze, transcribe, and display Your Content, and to stream it to the people and websites you choose, only as needed to provide the Service to you, including features you turn on. The license ends when Your Content is deleted from the Service, except for copies in routine backups (removed on their normal schedule) or that we must keep by law. We don't sell Your Content, show ads with it, or use it to train artificial intelligence models.

You confirm that you have all the rights, licenses, and permissions Your Content needs, including from anyone who appears or speaks in it, and that hosting and sharing it through the Service won't infringe anyone's rights or break the law.

Keep your own copies of your original files. We work hard to protect Your Content, but the Service isn't a backup service. After processing, original uploads may be moved to lower-cost archival storage, where retrieving them can take a day or two.

4. Acceptable use

You may not use the Service to upload, store, or share content, or to act in a way, that:

• infringes or misappropriates anyone's copyright, trademark, privacy, publicity, or other rights;
• sexually exploits or endangers minors, in any way (we report it to the authorities);
• is sexually explicit or pornographic;
• promotes terrorism or violent extremism, or threatens, harasses, bullies, or incites violence or hatred against people based on who they are;
• shows gratuitous violence, animal cruelty, or self-harm in a way that glorifies or encourages it;
• is fraudulent or deceptive, including scams, phishing, impersonation, and deceptive deepfakes of real people;
• contains malware or is meant to harm devices, networks, or data;
• sends spam or unsolicited promotions;
• discloses someone's private or confidential information without permission; or
• is otherwise illegal where you or your viewers are.

You also may not:

• probe, scan, or test the Service's security, or get around its limits, domain restrictions, or access controls;
• scrape the Service, or copy, resell, or rent it, or build a competing product from it;
• use it as general file storage or a content delivery network for anything other than video on VidReef players and pages;
• overload or interfere with the Service or other customers' use of it.

We may remove content or restrict access that breaks these rules, and suspend or close accounts that do so repeatedly or seriously (see Suspension and termination).

5. Plans, limits, and fair use

Plans and their limits are listed on our pricing page. Hosting limits are measured in hours of processed video. When a workspace reaches its limit, new uploads and imports pause; existing videos keep playing. If you move to a smaller plan while over its limit, nothing is deleted, but uploads stay paused until you're back under it.

AI captions are included on uploads. Each plan has a monthly fair-use ceiling on generated captions (equal to the plan's hosting hours) to prevent runaway regeneration; normal use won't reach it.

Bandwidth on paid plans isn't metered and we don't charge overage fees. If a workspace's traffic stays far beyond normal use for the plan (for example, sustained streaming at the scale of a media company), we'll contact you to agree on a custom plan before taking any action. The Free plan includes 100 GB of viewing per month. Free-plan players and share pages show a “Hosted on VidReef” badge.

6. Payment, renewal, and cancellation

Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. By subscribing you authorize us to charge your payment method at the start of each billing period. Subscriptions renew automatically for the same period until you cancel. Prices don't include taxes, which we add where required.

• Cancel any time from Plan & billing. Your plan stays active until the end of the period you've paid for, then moves to Free.
• Refunds. If you cancel within 14 days of first buying a yearly plan, we'll refund it in full. Otherwise payments aren't refundable, including for partial periods or unused time, except where the law requires.
• Switching plans takes effect right away, and we charge or credit the difference for the rest of the period.
• Price changes apply from your next renewal, and we'll email you at least 30 days before.
• Failed payments. If a payment fails we'll retry and let you know. If it isn't resolved, the workspace moves to the Free plan.
• Free trials (such as the one that comes with a referral) turn into a paid subscription at the end of the trial unless you cancel before it ends.

7. Referral program

Every account gets a share link. When someone new signs up through it within 30 days of first clicking it, they get their first 30 days of a paid plan free, and you earn credit equal to 25% of each payment they make for as long as they remain a paying customer. When a referred workspace uploads its first video, your plan also gains 1 hour of hosting, up to 20 hours.

• Credit is added after each payment succeeds and is applied automatically to your future VidReef invoices.
• Credit has no cash value, can't be transferred or exchanged, and is forfeited if your account is closed for breaking these Terms.
• Referring yourself, your own other accounts, or people who share your payment method doesn't count. We may withhold or reverse credit gained through fraud, spam, or misleading promotion.
• Promote your link honestly: don't bid on “VidReef” in search ads, pose as VidReef, or send unsolicited messages.
• We may change or end the program with 30 days' notice. Credit you've already earned stays usable.

8. Embedding, viewers, and analytics

You decide where your videos can be embedded and who can see them. We enforce the domain restrictions and privacy settings you choose, but anyone you share a video with can watch it, and a determined viewer can screen-record anything they can play.

The player collects viewing information (such as how much of a video was watched, the site it was embedded on, and approximate country and device type) to provide your analytics. For this information we act as your service provider (a “processor”): you decide how it's used, and you're responsible for giving your viewers any notices and getting any consent the law requires where you embed videos. If you pass a viewer's identity to the player (for example, an email address in the embed link), you confirm you're allowed to do so.

9. AI features

Captions, transcripts, and transcript search are generated automatically by speech-recognition models that run on our own cloud infrastructure. Generated output can contain mistakes, so review it where accuracy matters (for example, for accessibility or legal compliance); you can edit captions or upload your own.

We don't use Your Content, or captions generated from it, to train AI models.

10. Imports and other services

When you import from another service (for example Vimeo, Wistia, Skiv, or Amazon S3), you authorize us to access that account with the credentials or permissions you give us, only to copy the content you ask for. You're responsible for having the right to move that content and for following the other service's terms. We store import credentials encrypted and use them only for your imports. Other services are run by their own providers, and we're not responsible for them.

11. Copyright complaints (DMCA)

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act. If you believe content on VidReef infringes your copyright, send a notice to our designated agent:

Your notice must include:

1. your physical or electronic signature;
2. a description of the copyrighted work you believe is infringed;
3. the URL or other details that let us find the material;
4. your name, address, phone number, and email address;
5. a statement that you believe in good faith the use isn't authorized by the copyright owner, its agent, or the law; and
6. a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.

If we remove content because of a notice, we'll tell the uploader. They may send a counter-notice to the designated agent with their signature, identification of the removed material and where it appeared, a statement under penalty of perjury that they believe in good faith it was removed by mistake or misidentification, their name, address, and phone number, and their consent to the jurisdiction of the federal court for their district (or for San Diego County, California if outside the U.S.). We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the complainant tells us they've filed a court action. Sending a knowingly false notice or counter-notice can make you liable for damages.

We close the accounts of repeat infringers in appropriate circumstances.

12. Suspension and termination

You can stop using the Service at any time. To close your account and delete your data, contact us at support@vidreef.com.

We may suspend or close an account, or remove content, if you seriously or repeatedly break these Terms, if needed to prevent harm to others or the Service, or if the law requires it. Where reasonable we'll warn you first and give you a chance to fix the problem. We may also discontinue the Service entirely with at least 60 days' notice and a prorated refund of any prepaid fees.

When an account is closed, you'll have 30 days to download Your Content (unless we closed it for illegal content or legal reasons), after which we delete it. Copies in backups are removed on their normal schedule.

13. Changes to the Service and these Terms

We improve the Service continually and may add, change, or remove features. We won't materially reduce the core features of a paid plan during a period you've already paid for.

We may update these Terms. For material changes we'll give at least 30 days' notice by email or in the Service before they take effect. If you keep using the Service after that, the new Terms apply; if you don't agree, you can cancel before they take effect.

14. Disclaimers

We work to keep the Service available, secure, and accurate, but it's provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we don't promise the Service will be uninterrupted or error-free or that generated captions will be accurate.

15. Limitation of liability

To the extent the law allows, neither VidReef nor you will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if warned they were possible. Each party's total liability for all claims relating to the Service or these Terms is limited to the greater of the amounts you paid us in the 12 months before the claim arose or US $100.

These limits don't apply to your payment obligations, your indemnity obligations, infringement of the other party's intellectual property, or liability that can't be limited by law.

16. Indemnity

You'll defend and indemnify VidReef and its officers, employees, and agents against third-party claims, and the resulting losses and reasonable legal fees, that arise from Your Content, your use of the Service in breach of these Terms, or your violation of law or someone else's rights. We'll tell you promptly about any such claim and let you control the defense, and you won't settle it in a way that admits fault for us without our consent.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Before filing a claim, please contact us at support@vidreef.com so we can try to resolve it informally within 30 days. Any dispute that isn't resolved will be heard exclusively in the state or federal courts located in San Diego County, California, and both parties consent to their jurisdiction. Either party may bring qualifying claims in small-claims court.

18. General

• These Terms and the Privacy Policy are the whole agreement between us about the Service.
• If part of these Terms can't be enforced, the rest stays in effect. Not enforcing a right isn't a waiver of it.
• You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets, and we'll let you know.
• Neither party is liable for delays caused by events beyond its reasonable control.
• We may send notices to your account email; you can send notices to support@vidreef.com.
• Sections that by their nature should survive termination (such as ownership, payment, disclaimers, limits of liability, indemnity, and governing law) survive it.
